Terms and Conditions - ProcureDC

1. Definitions

"ProcureDC" refers to the platform and services provided by MissionProcure Solutions Ltd, a company registered in England and Wales (company number 15588689), whose registered office is at 71-75 Shelton Street, London WC2H 9JQ, United Kingdom ("we", "us" or "our").

"Organisation" refers to the business that holds a ProcureDC account.

"User" refers to any individual who uses the platform, on behalf of an Organisation or as a visitor to our website.

"Services" include the supplier directory and company listings, pre-qualification, messaging, Verity (our AI assistant), and associated tools.

2. Eligibility

ProcureDC is a service for businesses. Accounts are provided only to organisations acting in the course of their business, not to consumers.

Each User must be at least 18 years old and use the platform on behalf of their organisation.

By accepting a quotation or using the platform, you confirm that you are authorised to act for your organisation and to accept these Terms on its behalf.

3. Account Registration

Accounts are created by ProcureDC after a demo and an agreed quotation. Additional users join by invitation from their organisation's administrator.

You must provide accurate, complete, and up-to-date information.

You are responsible for maintaining the confidentiality of your account credentials.

4. Use of Services

You agree to use ProcureDC only for lawful purposes.

You may not engage in fraudulent, deceptive, or harmful activities.

We reserve the right to terminate or suspend accounts violating these terms.

5. Payment and Transactions

Subscription fees are agreed with you before your account is created and are set out in your quotation and your invoices. Prices for optional add-ons, such as extra licences or storage, are shown before you pay. All prices are in pounds sterling (GBP) and exclude VAT.

Payments are processed by Stripe. We never receive or store your card details.

Subscriptions, invoices, renewal and late payment are governed by our Subscription Terms at procuredc.com/subscription-terms.

Cancellation and refunds are governed by our Cancellation and Refund Policy at procuredc.com/cancellation-refund-policy.

We do not guarantee the success of any procurement deals between users.

6. Intellectual Property

All content, trademarks, and proprietary materials on ProcureDC are owned by us or licensed to us.

You may not copy, modify, or distribute our content without permission.

7. Privacy and Data Protection

Your use of ProcureDC is also governed by our Privacy Policy at procuredc.com/privacy.

We are committed to protecting your data in compliance with UK GDPR and other relevant regulations.

8. Limitation of Liability

ProcureDC is provided "as is" without warranties.

We are not liable for any indirect, incidental, or consequential damages resulting from the use of our platform.

9. Termination

We reserve the right to terminate or suspend accounts at our discretion, especially for breaches of these Terms.

Your organisation can cancel its subscription as set out in our Cancellation and Refund Policy.

10. Governing Law

These Terms, and any dispute arising from them, are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction over any such dispute.

11. Changes to Terms

We may update these Terms from time to time. The date at the top of this page shows when they last changed.

Continued use of ProcureDC after changes constitutes acceptance of the revised Terms.
