Subscription Terms - ProcureDC
Last updated: 18 October 2026
1. About These Terms
ProcureDC is provided by MissionProcure Solutions Ltd, a company registered in England and Wales (company number 15588689), whose registered office is at 71-75 Shelton Street, London WC2H 9JQ, United Kingdom. Our VAT number is GB 467113005.
In these Subscription Terms, "we", "us" and "our" mean MissionProcure Solutions Ltd, and "you" means the organisation that holds the subscription.
These terms apply to every paid ProcureDC subscription and to add-ons bought for it. They sit alongside our Terms and Conditions at procuredc.com/terms and our Privacy Policy at procuredc.com/privacy. Where they conflict on anything about your subscription, fees or payment, these Subscription Terms apply.
2. Business Customers Only
Subscriptions are sold only to businesses and other organisations, for use in the course of their business. They are not available to consumers.
The person who accepts a quotation confirms that they are authorised to bind their organisation to these terms.
Consumer rights, such as the right to cancel an online purchase within 14 days, do not apply to a business subscription.
3. Your Subscription
We set up your account after a demo and an agreed quotation. Your quotation sets out your subscription fee, your billing cycle, the number of user licences, your storage allowance and any minimum term.
Your organisation's administrators invite colleagues to the platform. Each active user or pending invitation uses one licence.
4. Fees, VAT and Currency
All fees are charged in pounds sterling (GBP).
All prices exclude VAT. If your organisation is in the UK, we add UK VAT at 20%, shown as a separate line on each invoice. If your organisation is outside the UK, we do not charge UK VAT: the invoice states that the reverse charge applies, and you account for any VAT due where you are.
We set the VAT treatment when we create your account, based on where your organisation belongs. Tell us if that changes.
If your fee changes, the new fee applies from your next invoice. A change is never applied to a period that has already been invoiced.
5. Billing Cycle and Invoices
You are billed monthly or annually, in advance, as set out in your quotation.
Your first invoice is issued when your account is created. After that, a new invoice is issued at the start of each billing period.
Each invoice is payable within 30 days of the date it is issued. The due date is shown on the invoice.
You pay through the secure payment link on the invoice, provided by our payment processor, Stripe. We never receive or store your card details.
We may also issue a one-off invoice for anything else we agree with you. Its due date is shown on the invoice.
6. Renewal
Your subscription renews automatically at the end of each billing period for another period of the same length, unless it has been cancelled under our Cancellation and Refund Policy at procuredc.com/cancellation-refund-policy.
Before each renewal we notify your organisation's administrators on the platform, and by email unless they have turned those emails off: 30 days before an annual renewal and 7 days before a monthly renewal.
The renewal invoice is issued on the renewal date and is payable within 30 days.
7. Add-ons
Your organisation's administrators can buy extra user licences and extra storage on the platform. Each purchase is a one-off card payment through Stripe Checkout, at the price shown before you pay, plus VAT where it applies.
The extra licences or storage are added to your subscription as soon as the payment is confirmed.
Add-ons cannot be bought while an invoice is overdue, or once a subscription has been cancelled.
8. Late or Failed Payment
If an invoice is not paid by its due date, or a payment fails, your organisation keeps full access for 14 days after the due date and the platform shows a reminder to pay. During this time you cannot buy add-ons.
If the invoice is still unpaid 14 days after its due date, your organisation becomes read-only until it is paid. Paying the invoice restores full access straight away.
When your organisation is read-only, its users can still sign in and see its data, but cannot:
- Use Verity, our AI assistant.
- Send messages.
- Invite users or reactivate users.
- Request access to a supplier's PQQ.
- Buy add-ons, such as extra licences or storage.
9. Cancellation and Refunds
How to cancel, when a cancellation takes effect, what your organisation can still do afterwards and when we give refunds are set out in our Cancellation and Refund Policy at procuredc.com/cancellation-refund-policy.
10. Suspension and Termination by Us
We may suspend or end a subscription if you seriously breach these terms or our Terms and Conditions, including by not paying an invoice.
If we end your subscription without cause, we refund the fees you have paid for the part of the billing period after it ends.
11. Liability
Our liability to you is limited as set out in our Terms and Conditions. Nothing in these terms limits liability that cannot be limited by law.
12. Changes to These Terms
We may update these Subscription Terms from time to time. The date at the top of this page shows when they last changed.
Continued use of a subscription after a change constitutes acceptance of the updated terms.
13. Governing Law
These terms, and any dispute arising from them, are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction over any such dispute.
